Amplifier Health - Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the Amplifier Health platform, you, on behalf of the entity you represent ("Client"), agree to be bound by these Terms of Service ("Terms").

These Terms govern your access to and use of the Amplifier Health proprietary platform, insights portal, and related services (collectively, the "Services"). These Terms are entered into by and between Amplifier Health, Inc. ("Amplifier," "we," "us," "our") and the Client.

Your access to and use of the Services is subject to a separately executed Master Services Agreement ("MSA") and Business Associate Agreement ("BAA") between Amplifier and the Client. In the event of a conflict between these Terms and the MSA, the MSA shall control.

1. Description of Services

Amplifier provides the Services to assist healthcare providers in enabling and managing Behavioral Health Integration ("BHI") programs. The specific scope of Services is detailed in the Statement of Work ("SOW") executed between Amplifier and the Client.

2. User Accounts and Responsibilities

• Authorized Users: Only authorized employees and agents of the Client may access and use the Services.
• Account Security: The Client is responsible for maintaining the confidentiality of all user credentials (e.g., usernames and passwords). The Client agrees to notify Amplifier immediately of any unauthorized use of an account or any other breach of security.
• User Conduct: The Client and its users agree not to use the Services for any unlawful purpose or in any way that could damage, disable, or impair the Services. Users are responsible for all activities that occur under their accounts.
• Compliance with Laws: The Client is responsible for ensuring that its use of the Services complies with all applicable laws and regulations, including HIPAA.

3. Use of the Platform

• License Grant: Subject to the terms of the MSA, Amplifier grants the Client a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services during the Term of the applicable SOW.
• Restrictions: The Client shall not (and shall not permit its users to): (a) reverse engineer, decompile, or otherwise attempt to discover the source code of the Platform; (b) copy, modify, or create derivative works based on the Platform; (c) resell, lease, or sublicense the Services; or (d) remove any proprietary notices from the Services.

4. Data and Information

• Client Data: As between Amplifier and the Client, the Client owns all right, title, and interest in and to all data provided by the Client to Amplifier ("Client Data"), including all Protected Health Information (PHI).
• Protected Health Information (PHI): The use and disclosure of all PHI are governed by the executed BAA between Amplifier and the Client. Amplifier will only use and disclose PHI as permitted in the BAA.
• Privacy Policy: Our collection and use of personal information in connection with the Services is described in our Information Privacy Policy.

5. Intellectual Property

• Amplifier IP: Amplifier owns and retains all right, title, and interest in and to the Services, including all underlying software, algorithms, know-how, and all intellectual property rights therein, as well as any Processed Data and Derived Analytics as defined in the MSA.
• Feedback: If the Client or its users provide any feedback, suggestions, or recommendations to Amplifier, Amplifier is free to use and incorporate such feedback into its services without any obligation to the Client.

6. Confidentiality

All "Confidential Information" disclosed by one party to the other shall be governed by the confidentiality provisions set forth in the MSA.

7. Term and Termination

These Terms will remain in effect as long as a valid MSA and SOW are in effect between Amplifier and the Client. Upon termination of the MSA, your right to access and use the Services will automatically terminate.

8. Warranties and Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THE MSA, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." AMPLIFIER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AMPLIFIER'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES EXCEED THE LIMITATIONS OF LIABILITY SET FORTH IN THE MSA.

10. Indemnification

The parties' respective indemnification obligations are set forth in the MSA.

11. Governing Law

These Terms and any disputes arising out of or related hereto shall be governed by the laws of the State of California, without regard to its conflict of law principles.

12. Changes to Terms

Amplifier reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our platform or by other communication channels. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
