PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the Amplifier Health platform, you, on behalf of the entity you represent ("Client"), agree to be bound by these Terms of Service ("Terms").
These Terms govern your access to and use of the Amplifier Health proprietary platform, insights portal, and related services (collectively, the "Services"). These Terms are entered into by and between Amplifier Health, Inc. ("Amplifier," "we," "us," "our") and the Client.
Your access to and use of the Services is subject to a separately executed Master Services Agreement ("MSA") and Business Associate Agreement ("BAA") between Amplifier and the Client. In the event of a conflict between these Terms and the MSA, the MSA shall control.
Amplifier provides the Services to assist healthcare providers in enabling and managing Behavioral Health Integration ("BHI") programs. The specific scope of Services is detailed in the Statement of Work ("SOW") executed between Amplifier and the Client.
All "Confidential Information" disclosed by one party to the other shall be governed by the confidentiality provisions set forth in the MSA.
These Terms will remain in effect as long as a valid MSA and SOW are in effect between Amplifier and the Client. Upon termination of the MSA, your right to access and use the Services will automatically terminate.
EXCEPT AS EXPRESSLY PROVIDED IN THE MSA, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." AMPLIFIER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AMPLIFIER'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES EXCEED THE LIMITATIONS OF LIABILITY SET FORTH IN THE MSA.
The parties' respective indemnification obligations are set forth in the MSA.
These Terms and any disputes arising out of or related hereto shall be governed by the laws of the State of California, without regard to its conflict of law principles.
Amplifier reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our platform or by other communication channels. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
